New York does not have an annual report for LLCs. Instead, an LLC files a Biennial Statement every two years, in its formation anniversary month, for $9. Separately, LLCs taxed as partnerships, and disregarded single-member LLCs, with New York source income pay an annual filing fee with the Department of Taxation and Finance, from $25 upward based on that income.

What is the Biennial Statement?

A short filing with the Department of State, every two years in the calendar month the LLC was formed, confirming the address where the Secretary of State forwards legal papers. It costs $9 and can be filed online. The Department of State usually sends a reminder to the address on file.

What is the New York LLC filing fee?

LLCs taxed as partnerships, and single-member LLCs disregarded for federal tax, that have income, gain, loss or deductions from New York sources pay an annual filing fee to the Department of Taxation and Finance on Form IT-204-LL. The fee starts at $25 and rises with New York source gross income. For calendar-year LLCs it is due by March 15.

How do you file the Biennial Statement?

    Through the Department of State's online filing service.

  3. Confirm the address for service

    Where legal papers should be forwarded.

What happens if you miss it?

The Department of State shows the LLC as past due on its records. That can cause problems with banks, lenders and certificates of good standing until the statement is filed.
