A Texas LLC's annual report is its franchise tax report, filed with the Texas Comptroller by May 15 each year, with a Public Information Report. For 2026 reports, no tax is due at or below $2.65 million of annualized revenue, but the reports are still required. Late reports carry a $50 penalty, and continued failure leads to forfeiture of the LLC's right to do business.

What does a Texas LLC file each year?

A franchise tax report with the Texas Comptroller, due May 15, together with a Public Information Report listing the LLC's managers or members, officers and registered agent. There is no separate annual report with the Secretary of State.

Do small LLCs owe franchise tax?

Not below the no tax due threshold. For reports due in 2026, an LLC with annualized total revenue at or below $2.65 million owes no franchise tax. It still files its reports, which confirm that no tax is due. Above the threshold, the tax is calculated on the LLC's taxable margin, at a lower rate for retail and wholesale businesses, and many smaller taxpayers can use a simplified calculation based on revenue. How do you file?

  1. Get your Texas taxpayer number

    Assigned when the LLC registered, shown on Comptroller correspondence.

  2. Work out annualized revenue

    From the accounting year ending in the previous calendar year.

  3. File online

    Through the Comptroller's WebFile system: a No Tax Due report or a full report.

  4. File the Public Information Report

    Online at the same time.

  5. Pay any tax due

    By May 15, or request an extension.

What happens if you file late?

The Comptroller charges a $50 penalty on each report filed after the due date, plus penalties and interest on any tax owed. If reports stay unfiled, the LLC's right to transact business in Texas is forfeited, and eventually the Secretary of State can forfeit its charter.
