New Mexico LLC annual report and yearly fees: what is due and when

No. New Mexico does not require LLCs to file an annual report, and there is no yearly state fee to keep an LLC in existence. What you must still keep up is a registered agent with a New Mexico address, amendments when key details change, and any New Mexico tax filings, such as gross receipts tax, if the business has activity there.

Why is there no annual report?

New Mexico's LLC law simply does not require LLCs to file annual or biennial reports, and it charges no yearly fee for keeping an LLC active. The $50 formation fee is the only state charge in a normal year. See how to form an LLC in New Mexico.

What do you still need to do each year?

  1. Keep a registered agent

    With a physical New Mexico address, and pay their fee on time. See what a registered agent is.

  2. File changes

    A change of registered agent, name or other details in the Articles is filed with the Secretary of State.

  3. File New Mexico taxes where they apply

    Gross receipts tax returns and income tax returns if the business has activity in New Mexico.

  4. File federal returns

    Such as Form 5472 for a foreign-owned single-member LLC.

What is the main risk?

Which New Mexico taxes can apply?

New Mexico's gross receipts tax applies to receipts from selling goods and many services in the state, and its income taxes apply to income from New Mexico activity. An LLC formed in New Mexico but operated entirely elsewhere usually has none of either. See economic nexus.

What about federal filings?

They do not depend on the state. A foreign-owned single-member New Mexico LLC still files Form 5472 each year it has transactions with its owner.
