When is the Wyoming annual report due?
On the first day of the month in which the LLC was formed, each year, starting the year after formation. An LLC formed in March 2026 files its first report by March 1, 2027, then every March 1. Reports can be filed from the start of the month before.
How much does it cost?
The annual report license tax is $60, or $0.0002 per dollar of the LLC's assets located and employed in Wyoming, whichever is greater. Assets of $300,000 in Wyoming would still pay $60; the larger amount only applies once Wyoming assets exceed $300,000. An LLC run from abroad with no Wyoming assets pays $60.
How do you file?
Go to WyoBiz
The Wyoming Secretary of State's online filing system.
Find the LLC
By name or filing ID.
Report Wyoming assets
Enter the value of assets located and employed in Wyoming, which may be zero.
Confirm details and pay
Update addresses or the registered agent if needed, and pay by card.
What happens if you miss it?
An LLC that does not file becomes delinquent and, after a short period, is administratively dissolved. Reinstatement means filing the missing reports and paying the arrears and a reinstatement fee. An LLC dissolved for having no registered agent pays $350 to reinstate. See reinstating a dissolved LLC.
What else does a Wyoming LLC owe?
Wyoming has no personal or corporate income tax, so the license tax is usually the only state charge besides the registered agent. Federal filings are separate: a foreign-owned single-member LLC still files Form 5472 each year. For forming one, see how to form an LLC in Wyoming.
