Who a Wyoming LLC suits
Wyoming is one of the cheapest states to form and keep an LLC in. The filing fee is $100, the yearly charge starts at $60, and the state has no personal or corporate income tax. That makes it a common choice for two groups: people who live or work in Wyoming, and owners with no physical presence in any US state, such as founders living abroad who sell online.
If you live and run your business in another state, think twice before choosing Wyoming for the low fees alone. Your home state will usually expect the LLC to register there as a foreign LLC and pay that state's fees and taxes as well, so you end up maintaining two registrations.
What you need before you file
The Articles of Organization are short. The state asks for five things and a signature.
- A company name. Wyoming law requires the name to include "Limited Liability Company" or one of these abbreviations: LLC, L.L.C., Limited Company, LC, L.C., Ltd. Liability Company, Ltd. Liability Co., or Limited Liability Co.
- A registered agent. This is the person or company that receives legal papers for the LLC. The agent can be an individual who lives in Wyoming, or a business entity authorized to operate in Wyoming. Either way, the agent needs a physical address in the state.
- A mailing address for the LLC.
- A principal office address.
- An email address. The state sends reminders, notices and proof of filing to it. The form also asks you to tick a certification consenting to electronic service of process at that address in the circumstances Wyoming law sets out.
The Articles are signed by an organizer, the person submitting the filing. The form does not ask for a list of the LLC's members or managers.
How to form the LLC, step by step
Choose a name and check it is free
Search the business records on the Secretary of State's WyoBiz site to confirm no existing entity already uses the name, and make sure it carries one of the required endings.
Appoint a registered agent
Pick an individual or a commercial agent with a physical Wyoming address. The agent signs a Consent to Appointment by Registered Agent, which is part of the state's Articles of Organization packet. Commercial agents charge their own yearly fee, which is separate from anything you pay the state.
Complete the Articles of Organization
Enter the LLC name, the registered agent's name and physical address, the mailing address and the principal office address. The form also has an election to be a close limited liability company, which is optional. Tick the certification, then have the organizer sign and date the form.
File and pay the $100 fee
File online at wyobiz.wyo.gov and pay by Visa or MasterCard, or mail the paper form with a check or money order payable to the Wyoming Secretary of State. The mailing address is Herschler Building East, Suite 101, 122 W 25th Street, Cheyenne, WY 82002-0020.
Finish setting up the company
Once the state approves the filing, the LLC exists. Three jobs remain, none of them with the Secretary of State: write an operating agreement, get an EIN from the IRS, and open a business bank account.
How long it takes
For paper filings, the Secretary of State quotes a processing time of up to 15 business days from the date the documents arrive. Filings are handled in the order they are received, and the WyoBiz site shows which day's filings are currently being processed. Online filings skip the postal delay in both directions.
The Business Division fee schedule that took effect on July 1, 2026 lists an expedited filing service at $700 for next business day and $1,400 for the same business day. The state's older form instructions say expedited filing is not available, so confirm with the Business Division before you build a deadline around it.
What it costs
These are the state's own charges for LLCs, taken from the Business Division fee schedule effective July 1, 2026.

Paying online by card adds a small convenience fee charged by the payment processor. A commercial registered agent's fee comes on top and is set by the agent, not the state.
The annual report
Every Wyoming LLC files an annual report with the Secretary of State and pays a license tax with it. The report is due on the first day of the anniversary month of formation. The state's own example: an LLC registered on January 15 has its report due on January 1 each year. You can file up to 120 days early.

The license tax is the greater of $60 or two-tenths of one mill on the dollar ($0.0002) of the company's assets located and employed in Wyoming. In practice:
- With $300,000 or less of assets in Wyoming, you pay $60.
- With $1,210,000 of assets in Wyoming, you pay $242, which is $1,210,000 multiplied by 0.0002.
Only assets located and employed in Wyoming count. An online business run from elsewhere, with no property in the state, normally pays the $60 minimum.
Taxes after you form
Wyoming does not tax personal or corporate income, so there is no state income tax return for the LLC or its owners. That does not remove your other obligations:
- Federal tax. The LLC or its owners still file with the IRS. If the LLC has a single owner who is not a US person, that usually includes Form 5472 with a pro forma Form 1120 each year.
- Sales tax. If you sell taxable goods or services to customers in Wyoming, contact the Wyoming Department of Revenue about a sales and use tax license. - Your home state. If you live or operate in another state, that state's registration and tax rules still apply to you.
Mistakes that delay or undo a Wyoming filing
- Sending an incomplete form. The Secretary of State says it is unable to process incomplete forms, so review every field before you submit.
- Leaving out the registered agent's consent. A paper filing without the signed consent form is incomplete.
- Using a PO box or drop box as the registered office. The agent needs a physical Wyoming address.
- Forgetting the first annual report. The due date is tied to your formation month, not to the calendar year or the tax year, so it is easy to overlook.

Do I have to live in Wyoming to form an LLC there?
No. The Articles of Organization do not require the owners to live in Wyoming. What the state does require is a registered agent with a physical address in Wyoming.
