Nevada LLC annual report and yearly fees: what is due and when

Nevada has no state income tax, but it is one of the more expensive states to keep an LLC: $350 every year, with steep penalties for lateness. This guide covers the two filings, the deadline and reinstatement.

When is it due?

Both filings are due together by the last day of the LLC's anniversary month, the month it was formed, each year after the initial list filed at formation. An LLC formed in April files by April 30 every year. They are filed together through SilverFlume, the state's online business portal.

$150 for the annual list and $200 for the state business license renewal, $350 a year, plus a small online processing charge. Filing late adds a $75 penalty on the list and a $100 penalty on the license, $175 in total.

What information do you need?

The annual list names the LLC's managers, or its members if it has no managers, with their addresses, and confirms the registered agent. It is a public record. The business license renewal is filed in the same submission. Have the LLC's Nevada business ID ready.

What happens if you file late or not at all?

An LLC that misses the deadline is in default immediately and owes the $175 in penalties on top of the $350. If it remains unfiled, its charter is revoked about a year after the missed due date, forfeiting its right to do business in Nevada until reinstated.

How do you restore a dissolved LLC?

A revoked Nevada LLC can be reinstated within five years by filing every missed annual list and business license renewal, paying all the fees and penalties, and paying a $300 reinstatement fee. After two missed years the total typically exceeds $1,000. See reinstating a dissolved LLC.

What else does a Nevada LLC pay each year?

Nevada has no personal or corporate income tax. The commerce tax applies only to businesses with Nevada gross revenue over $4 million a year. Is anything different for foreign owners?

No. A Nevada LLC owned by someone outside the US files the same annual list and state business license renewal in the same way, usually online with a card. Make sure the registered agent forwards state notices promptly, since that is where reminders and penalty notices go. Separately, a single-member LLC owned by a foreign person must file Form 5472 with a pro forma Form 1120 with the IRS every year; that federal filing is unrelated to the state report and carries a $25,000 penalty if missed. How do you avoid missing it?

Put the due date in a calendar with a reminder a month ahead, keep the email address on the state's records current, and file as soon as the filing window opens.
