Utah LLC annual report and yearly fees: what is due and when

Utah's annual renewal is one of the cheapest in the country, and its late fee is small. The real cost of forgetting is that the LLC expires. This guide covers the anniversary-month deadline, the statuses Utah uses and reinstatement.

When is it due?

During the LLC's anniversary month, the month the Division approved its formation, each year from the year after: an LLC formed in April 2026 renews by April 30, 2027. The renewal window opens about 60 days earlier, and the Division sends a renewal notice to the registered agent. Utah uses the names annual report and annual renewal for the same filing.

How much does it cost?

$18 a year, which includes a small state portal surcharge, under the fee schedule effective July 1, 2025. A late renewal adds a $10 late fee; some sources describe a short grace period before it applies, so renew within the anniversary month to be safe.

How do you file it?

    Shown on the renewal notice and in the business search.

  3. Confirm or update details

    Principal office, registered agent and managers or members.

  4. Pay $18 within the anniversary month

What information do you need?

The annual renewal usually confirms or updates the LLC's principal office and mailing addresses, its registered agent and registered office, the names and addresses of its members or managers, and an email address for state notices. Have the LLC's Utah entity or file number ready; it appears on the formation approval and in the state's business search. Changing the LLC's name or management structure needs a separate amendment, not the report.

What happens if you file late or not at all?

An LLC that has not renewed is first shown as delinquent, and the $10 late fee applies. If it still does not renew, about 60 days past due the Division can dissolve it and its status becomes expired. An expired LLC should not carry on business until it is reinstated.

How do you restore a dissolved LLC?

An expired Utah LLC applies for reinstatement, paying the $54 reinstatement fee in the Division's fee schedule and the overdue renewals and late fees. Older guidance limited reinstatement to two years after expiry, and the LLC's name is protected only for a limited time, so act promptly and confirm the current rules with the Division. What else does a Utah LLC pay each year?

Owners pay Utah's flat income tax on their share of profit. Most cities and counties require a local business license, renewed each year. LLCs selling taxable goods file sales tax returns with the State Tax Commission, and employers file withholding and unemployment returns.

Is anything different for foreign owners?

No. A Utah LLC owned by someone outside the US files the same annual renewal in the same way, usually online with a card. Make sure the registered agent forwards state notices promptly, since that is where reminders and penalty notices go. Separately, a single-member LLC owned by a foreign person must file Form 5472 with a pro forma Form 1120 with the IRS every year; that federal filing is unrelated to the state report and carries a $25,000 penalty if missed. How do you avoid missing it?

Put the due date in a calendar with a reminder a month ahead, keep the email address on the state's records current, and file as soon as the filing window opens. Registered agent services usually send reminders too. Be wary of official-looking letters from private companies offering to file for a much higher fee: genuine notices come from the Utah Division of Corporations and Commercial Code, and you can always file directly.
