How to form an LLC in Utah

Who should form an LLC in Utah?

How do you form an LLC in Utah, step by step?

  1. Choose and check the name

    Search the state's business records and include "LLC", "L.L.C." or "Limited Liability Company" in the name.

  2. Appoint a registered agent

    A person or company with a physical street address in Utah. See what a registered agent is.

  3. File the Certificate of Organization

    Online through the Division of Corporations and Commercial Code's business registration system, which requires a UtahID account, or by mail, with the $59 fee. The fee rose from $54 with the fee schedule effective July 1, 2025.

  4. Get an EIN and sign an operating agreement

What does Utah require every year?

An annual renewal each year, $18, filed during the LLC's anniversary month, starting the year after formation; the renewal window opens a little before the anniversary. A renewal filed after the anniversary month carries a $10 late fee, and an LLC that stays delinquent expires and must be reinstated.

Do you need a Utah business license?

Utah has no general statewide business license, but most cities and counties require a local business license, and many professions need state licensing through the Division of Professional Licensing. Businesses selling taxable goods register for sales tax with the Utah State Tax Commission.

Yes. Utah has no residency or citizenship requirement for an LLC's members or managers. You need a registered agent with a Utah street address and an EIN; a foreign owner without a Social Security number applies for the EIN on Form SS-4. What happens if you miss a required report?

The state usually charges a late fee and marks the LLC as not in good standing, which can block a certificate of good standing, a bank account or a loan. If the filing stays overdue, the state can administratively dissolve the LLC, ending its liability protection and its claim to the name.
