Illinois LLC annual report and yearly fees: what is due and when

Illinois sets its annual report deadline a month earlier than most anniversary-based states: before your anniversary month begins. This guide covers that timing, the fee, the late penalty and reinstatement.

Illinois LLCs file an annual report with the Secretary of State each year before the first day of their anniversary month, starting the year after formation, for $75. In practice that means by the last day of the month before the anniversary. A late report adds a $100 penalty, and continued non-filing leads to administrative dissolution.

When is it due?

Before the first day of the LLC's anniversary month, every year from the year after formation. An LLC formed in June 2026 files its first report by May 31, 2027, and every May after. The report can be filed up to about 45 days before it is due, and the Secretary of State sends a notice beforehand.

How much does it cost?

$75 a year, plus an optional expedite fee. A late report adds a $100 penalty, reduced from $300 by recent legislation, so a report filed late costs $175.

What information do you need?

The annual report usually confirms or updates the LLC's principal office and mailing addresses, its registered agent and registered office, the names and addresses of its members or managers, and an email address for state notices. Have the LLC's Illinois entity or file number ready; it appears on the formation approval and in the state's business search. Changing the LLC's name or management structure needs a separate amendment, not the report.

What happens if you file late or not at all?

A late report adds a $100 penalty. If the report remains unfiled, the Secretary of State sends notice and, after the notice periods expire, administratively dissolves the LLC, ending its good standing and liability protection until it is reinstated.

How do you restore a dissolved LLC?

A dissolved Illinois LLC can be reinstated, generally within five years, by filing an application for reinstatement with a $200 fee, every missed annual report and the penalties owed. Reinstatement restores the LLC as if it had not been dissolved. See reinstating a dissolved LLC.

What else does a Illinois LLC pay each year?

Illinois LLCs taxed as partnerships or S corporations pay the personal property replacement tax, 1.5% of Illinois net income, with their state return; owners pay Illinois's flat income tax on their shares. Chicago and some other localities have their own taxes and licenses. LLCs selling taxable goods file sales tax returns.

Is anything different for foreign owners?

No. A Illinois LLC owned by someone outside the US files the same annual report in the same way, usually online with a card. Make sure the registered agent forwards state notices promptly, since that is where reminders and penalty notices go. Separately, a single-member LLC owned by a foreign person must file Form 5472 with a pro forma Form 1120 with the IRS every year; that federal filing is unrelated to the state report and carries a $25,000 penalty if missed. How do you avoid missing it?

Put the due date in a calendar with a reminder a month ahead, keep the email address on the state's records current, and file as soon as the filing window opens. Registered agent services usually send reminders too. Be wary of official-looking letters from private companies offering to file for a much higher fee: genuine notices come from the Illinois Secretary of State, and you can always file directly.
