Florida LLC annual report and yearly fees: what is due and when

When is the Florida annual report due?

Between January 1 and May 1 each year, starting in the calendar year after the LLC was formed. An LLC formed in September 2026 files its first report between January 1 and May 1, 2027. Florida sends reminders to the email on file, but responsibility is yours.

How much does it cost?

$138.75 if filed by May 1. After May 1, a $400 late fee is added, making $538.75. The late fee cannot generally be waived.

How do you file it?

  1. Go to Sunbiz

    The Division of Corporations' online filing site.

  2. Enter the document number

    Found on your Articles of Organization or the entity search.

  3. Confirm or update details

    Principal and mailing addresses, registered agent, and authorized members or managers.

  4. Pay by card

    And keep the confirmation.

Can you make changes on the report?

Yes. The annual report can update addresses, the registered agent and the list of authorized persons. It cannot change the LLC's name, which needs an amendment.

What if the LLC is dissolved?

An LLC that has not filed by the third Friday of September is administratively dissolved. It can be reinstated by filing the missing reports and a reinstatement application with the fees. See reinstating a dissolved LLC.
