Documents banks ask for when you open an LLC account

Bank applications stall most often because a document is missing or does not match another one. This checklist sets out what banks usually ask for, what each document proves, and the extras for multi-member and foreign-owned LLCs.

Short answer

To open an LLC bank account, banks usually ask for the stamped Articles of Organization, the IRS EIN confirmation, the operating agreement, and a government ID for each owner of 25% or more and for the person controlling the LLC. Some also ask for proof of address, a certificate of good standing or a description of the business. Foreign owners typically add a passport and proof of home address.

Whose ID do banks need?

Under federal customer due diligence rules, banks identify the beneficial owners of a business account: each individual who owns 25% or more of the LLC, plus one individual with significant responsibility for controlling it, such as the managing member. Signers on the account are identified as well.

What changes by type of LLC?

  • Single-member LLC, US owner: the basic checklist. Some banks accept the owner's Social Security number in place of an EIN for a disregarded LLC, but most want an EIN. See does a single-member LLC need an EIN.
  • Multi-member LLC: details and ID for every member owning 25% or more, and an operating agreement showing who can sign.
  • Foreign-owned LLC: a passport for each foreign owner and signer, proof of home address abroad, and often more detail on the business and where its money comes from. See US bank accounts for non-residents.
  • LLC taxed as a corporation: the same documents, and sometimes a resolution authorizing the account.

Why does consistency matter?

Banks compare every document with every other. The LLC's name must be identical on the state filing, the EIN confirmation, the operating agreement and the application, including punctuation and "LLC". Owners' names must match their IDs exactly. Most avoidable delays come from small differences.
