Oklahoma LLC annual report and yearly fees: what is due and when

Oklahoma's yearly filing is one of the cheapest in the country, and it has no late fee, which is exactly why it is easy to forget. This guide covers the anniversary deadline, the good-standing rule and reinstatement.

Oklahoma LLCs file a $25 annual certificate with the Secretary of State on each anniversary of formation, starting with the first. There is no late fee, but an LLC that has not filed within 60 days of the due date loses good standing, and after three years of non-filing its articles are cancelled. When is it due?

On the anniversary of the date the Articles of Organization were filed, every year, starting with the first anniversary: an LLC formed on February 15, 2026 files by February 15, 2027. The certificate can be filed up to 60 days early, and the Secretary of State emails a reminder about 60 days before.

From November 1, 2026, new Articles of Organization must include the registered agent's email address, so keep that email current too.

How much does it cost?

$25 a year, slightly more online with the card charge. Oklahoma's LLC Act sets no late fee, so a late certificate still costs $25.

What information do you need?

The annual certificate usually confirms or updates the LLC's principal office and mailing addresses, its registered agent and registered office, the names and addresses of its members or managers, and an email address for state notices. Have the LLC's Oklahoma entity or file number ready; it appears on the formation approval and in the state's business search. Changing the LLC's name or management structure needs a separate amendment, not the report.

What happens if you file late or not at all?

An LLC whose certificate and fee are still unpaid 60 days after the due date is no longer in good standing, which can block certificates of good standing and some transactions. If it does not file for three years, its articles are deemed cancelled and its name becomes available to others.

A cancelled Oklahoma LLC applies for reinstatement by filing every missed annual certificate and paying every missed $25 fee, with an application for reinstatement and a current registered agent. Owners pay Oklahoma's graduated income tax on their share of profit. Oklahoma's franchise tax applies to corporations, not LLCs taxed as partnerships. LLCs selling taxable goods file sales tax returns with the Oklahoma Tax Commission, and many cities require local licenses.

Is anything different for foreign owners?

No. A Oklahoma LLC owned by someone outside the US files the same annual certificate in the same way, usually online with a card. Make sure the registered agent forwards state notices promptly, since that is where reminders and penalty notices go. Separately, a single-member LLC owned by a foreign person must file Form 5472 with a pro forma Form 1120 with the IRS every year; that federal filing is unrelated to the state report and carries a $25,000 penalty if missed. How do you avoid missing it?

Put the due date in a calendar with a reminder a month ahead, keep the email address on the state's records current, and file as soon as the filing window opens. Registered agent services usually send reminders too. Be wary of official-looking letters from private companies offering to file for a much higher fee: genuine notices come from the Oklahoma Secretary of State, and you can always file directly.
