How to form an LLC in Oklahoma

To form an LLC in Oklahoma, file Articles of Organization with the Oklahoma Secretary of State and pay $100. Each year, file a $25 annual certificate by the anniversary of formation. Who should form an LLC in Oklahoma?

How do you form an LLC in Oklahoma, step by step?

  1. Choose and check the name

    Search the state's business records and include "LLC", "L.L.C." or "Limited Liability Company" in the name.

  2. Appoint a registered agent

  3. File the Articles of Organization

    Online through the Oklahoma Secretary of State's business portal, or by mail, with the $100 fee. From November 1, 2026, the Articles must state the registered agent's email address as well as their name and Oklahoma street address.

  4. Get an EIN and sign an operating agreement

What does Oklahoma require every year?

An annual certificate each year, $25, due on the anniversary of the date the Articles were filed, starting with the first anniversary. It can be filed online up to 60 days early. If it is still unfiled 60 days after the due date, the LLC loses good standing, and continued non-filing can lead to the LLC being cancelled.

Do you need an Oklahoma business license?

Oklahoma has no general statewide business license, but many cities require local licenses, and some trades and professions need state licenses. Businesses selling taxable goods need a sales tax permit from the Oklahoma Tax Commission.

Can a non-resident form an LLC in Oklahoma?

Yes. Oklahoma has no residency or citizenship requirement for an LLC's members or managers. You need a registered agent with a Oklahoma street address and an EIN; a foreign owner without a Social Security number applies for the EIN on Form SS-4. What happens if you miss a required report?

The state usually charges a late fee and marks the LLC as not in good standing, which can block a certificate of good standing, a bank account or a loan. If the filing stays overdue, the state can administratively dissolve the LLC, ending its liability protection and its claim to the name. Which Oklahoma taxes apply to an LLC?

Owners pay Oklahoma's graduated income tax on their share of profit. The state sales tax is 4.5%, plus city and county taxes that often make the total much higher; register with the Oklahoma Tax Commission if you sell taxable goods.
