The short answer
You do not need an ITIN to own a US LLC, to get its EIN, or to file its yearly Form 5472. You need one when you personally have to file a US tax return, or in certain cases to claim a tax treaty benefit. Because the IRS issues ITINs only for a federal tax purpose, you cannot get one ahead of time just to have it.
What works without an ITIN
| Task | What to do without an ITIN |
|---|---|
| Forming the LLC with the state | No US tax number is asked for |
| Getting the LLC's EIN | Apply on Form SS-4 by fax, phone or mail and write "foreign" or "N/A" on line 7b, as the December 2025 instructions allow |
| Form 5472 and the pro forma 1120 | Enter a reference ID number for yourself in Parts II and III, plus your home country tax number, or "None" or "N/A" if you have none |
| Giving a payment platform your tax form | Form W-8BEN asks for a foreign tax number, and a US number only in certain cases |
The reference ID number on Form 5472 is one you create yourself. It can contain letters and numbers, up to 50 characters, with no spaces or special characters, and you use the same one every year. See our Form 5472 guide.
When you do need one
You must file Form 1040-NR
If the LLC's income is taxable in the US, for example because the business is carried on in the US through staff, an office or stock, the income belongs to you as the owner of a single-member LLC, and you report it on Form 1040-NR. That return needs a US taxpayer number. Most non-residents apply for the ITIN by attaching Form W-7 to that first return, ticking box b. See whether foreign-owned US LLCs pay US tax.
You want a refund of tax withheld
A nonresident alien who files a return only to claim a refund also applies with box b.
You claim a treaty benefit that requires one
Some treaty claims require an ITIN even when no return is due. Form W-7 has a separate reason for this, box a, which must be completed together with box h.
You are a partner in a multi-member LLC with US income
Partners with a share of income effectively connected with a US business file Form 1040-NR, and the partnership's own filings need each partner's details. Partners in that position usually need ITINs.
When you cannot get one
You cannot apply just because a bank, a formation service or a platform suggests it would be useful. Form W-7 requires a reason from its list, and in most cases the return the number is for. There are limited exceptions, such as a bank that must withhold tax on interest paid to you, but they have their own documentation rules. See getting an ITIN without a tax return.

What about banks and platforms?
Some US banks and payment providers ask foreign owners for an ITIN or SSN, and others do not. That is a policy choice by each provider, not an IRS requirement. See opening a US bank account without an SSN. If a provider insists on one and you have no tax reason to apply, look at providers that accept non-resident owners without one. An ITIN obtained for a genuine tax reason can, of course, be given to them afterwards.
If you already have one
An ITIN expires if it is not used on a federal return for three consecutive years. An owner who filed Form 1040-NR once and then had no US filing requirement may find the ITIN has lapsed. Renew it with a new W-7 before you file a return that needs it. See how to apply for an ITIN.

Questions people ask
Do I need an ITIN to get an EIN for my LLC?
No. If you do not have and are not eligible for an SSN or ITIN, write 'foreign' or 'N/A' on line 7b of Form SS-4.
Do I need an ITIN to file Form 5472?
No. The form accepts a reference ID number that you assign to yourself, together with your home country tax number if you have one.
When does a foreign LLC owner need an ITIN?
Mainly when they must file Form 1040-NR because the LLC has taxable US income, or to claim certain tax treaty benefits.
Can I get an ITIN for opening a US bank account?
Not on that basis alone. The IRS requires a federal tax reason, usually a return you must file.
