When you need a new EIN and when you don't

An EIN belongs to a taxpayer, not a business name or a location. Most changes leave it untouched; a few require a new one. Using the old number after a change that needs a new one causes mismatched filings that are slow to fix. This guide sets out which is which.

Short answer

You need a new EIN when the business becomes a different taxpayer: a sole proprietor incorporates or takes in partners, a single-member LLC gains a second member and becomes a partnership, or a merger creates a new company. You keep your EIN for a new name, address or responsible party, an S corporation election, or a conversion that keeps the same entity.

Why does the rule work this way?

Because the EIN identifies the taxpayer for the IRS. A new name or address is the same taxpayer. A change of entity, or a change in who the taxpayer is, creates a different taxpayer with its own returns and history. See what an EIN is.

What about sole proprietors?

A sole proprietor's EIN belongs to them personally, as owner of that business. If they form an LLC, the LLC gets its own EIN. If the sole proprietorship goes bankrupt or the owner dies, the estate or new owner needs a new one. See does a single-member LLC need an EIN.

What should you do after a change?

  1. Check whether the taxpayer changed

    Using the table above and the IRS guidance.

  2. Apply for a new EIN if needed

    Online or with Form SS-4.

  3. Otherwise update the IRS

    Form 8822-B for address or responsible party; a letter or the return for a name.

  4. Update banks and payers

    With a new Form W-9 showing the correct name and EIN.

What happens to the old EIN?

It is never reassigned. If the old entity has ended, file its final returns and ask the IRS to close the account. See how to close an EIN account.

Do I need a new EIN if I change my business name?

No. Keep the EIN and tell the IRS of the new name.

Do I need a new EIN if I elect S corporation status?

No. The S election does not change the EIN.

Do I need a new EIN when my single-member LLC adds a member?

Usually yes, because the LLC becomes a partnership for tax.

Can I use the seller's EIN if I buy a business?

No. Your own entity uses its own EIN.
