When is it due?
By April 15 each year, starting the year after formation: an LLC formed at any time in 2026 files its first Form 1 by April 15, 2027. A 60-day extension to mid-June is available online through Maryland Business Express, but must be requested by April 15.
How much does it cost?
$300 a year for every LLC, whether or not it owns business property. Businesses that register for MarylandSaves, the state retirement savings program, or confirm they are exempt, can have the fee waived. Maryland charges no flat late fee; the late penalty is based on the value of the LLC's Maryland business personal property, so it is small or nothing for LLCs without property, but the $300 is still owed.

What information do you need?
Form 1 confirms the LLC's details and reports business personal property located in Maryland, such as furniture, equipment and inventory, so the local jurisdiction can assess property tax. An LLC with no property in Maryland still files and reports none. Have the SDAT department ID ready; it begins with a letter showing the entity type.
What happens if you file late or not at all?
Maryland does not dissolve LLCs for non-filing. Instead, immediately after September 30, SDAT forfeits every LLC that has not filed the prior year's Form 1, ending its right to do business and use its name. Unpaid fees and penalties can also be referred to the state's Central Collection Unit. Because the obligations continue, an unused LLC should be cancelled rather than left to forfeit.
How do you restore a dissolved LLC?
A forfeited Maryland LLC files articles or a certificate of reinstatement with SDAT for $100, plus every overdue Form 1 and its fee, and may need tax clearance. Note that "articles of revival" is the form for corporations, not LLCs. See reinstating a dissolved LLC.

Owners pay Maryland's graduated income tax plus a county local income tax on their share of profit. Local governments bill personal property tax based on Form 1. LLCs selling taxable goods file sales tax returns with the Comptroller, and employers file withholding and unemployment returns.

Is anything different for foreign owners?
No. A Maryland LLC owned by someone outside the US files the same Form 1 annual report in the same way, usually online with a card. Make sure the registered agent forwards state notices promptly, since that is where reminders and penalty notices go. Separately, a single-member LLC owned by a foreign person must file Form 5472 with a pro forma Form 1120 with the IRS every year; that federal filing is unrelated to the state report and carries a $25,000 penalty if missed. How do you avoid missing it?
Put the due date in a calendar with a reminder a month ahead, keep the email address on the state's records current, and file as soon as the filing window opens. Registered agent services usually send reminders too. Be wary of official-looking letters from private companies offering to file for a much higher fee: genuine notices come from the Maryland State Department of Assessments and Taxation, and you can always file directly.
