Louisiana LLC annual report and yearly fees: what is due and when

Louisiana's annual report is due on your LLC's own anniversary and its fee rose on October 1, 2026. This guide sets out the current fee, the deadline and what happens if reports are missed.

Louisiana LLCs file an annual report on or before each anniversary of formation, starting on the first anniversary. From October 1, 2026, the fee is $35, up from $30, with a small charge for card payments online. An LLC that fails to file for three consecutive years can have its articles revoked, and reinstatement involves a fee plus the missed reports.

When is it due?

On or before the anniversary of the LLC's formation each year, starting with the first anniversary: an LLC formed on July 10, 2026 files by July 10, 2027. Filing opens about four weeks before the anniversary, and the Secretary of State sends a reminder to the email on file.

$35 from October 1, 2026, raised from $30 by Act 921 of 2026, plus a small convenience fee when paying by card through geauxBIZ. LLCs with anniversaries before October 1, 2026 paid $30 this year; every report filed from that date pays $35.

What information do you need?

The annual report usually confirms or updates the LLC's principal office and mailing addresses, its registered agent and registered office, the names and addresses of its members or managers, and an email address for state notices. Have the LLC's Louisiana entity or file number ready; it appears on the formation approval and in the state's business search. Changing the LLC's name or management structure needs a separate amendment, not the report.

What happens if you file late or not at all?

A late report leaves the LLC not in good standing, which can block certificates of good standing and some transactions. If the LLC fails to file annual reports for three consecutive years, the Secretary of State can revoke its articles of organization, ending its existence until reinstated.

How do you restore a dissolved LLC?

A revoked Louisiana LLC can be reinstated by filing the delinquent annual reports and paying their fees together with the reinstatement fee, which also rose on October 1, 2026. The name may have been taken in the meantime. See reinstating a dissolved LLC.

What else does a Louisiana LLC pay each year?

Owners pay Louisiana's flat income tax on their share of profit; Louisiana individual returns are due May 15. Sales tax is collected at state and parish rates, with some parishes administering their own; employers file withholding and unemployment returns.

Is anything different for foreign owners?

No. A Louisiana LLC owned by someone outside the US files the same annual report in the same way, usually online with a card. Make sure the registered agent forwards state notices promptly, since that is where reminders and penalty notices go. Separately, a single-member LLC owned by a foreign person must file Form 5472 with a pro forma Form 1120 with the IRS every year; that federal filing is unrelated to the state report and carries a $25,000 penalty if missed. How do you avoid missing it?

Put the due date in a calendar with a reminder a month ahead, keep the email address on the state's records current, and file as soon as the filing window opens. Registered agent services usually send reminders too.
