How to form an LLC in Kansas

Kansas changed its LLC rules twice recently: annual reports became biennial Information Reports in 2024, and formation fees were cut in 2026. Many websites still show the old figures. This guide sets out the current rules.

Who should form an LLC in Kansas?

Anyone who lives in Kansas or runs their business from there. If you form in another state but operate in Kansas, you will usually have to register there as a foreign LLC anyway, paying both states' fees. See home state or another state.

    Search the state's business records and include "LLC", "L.L.C." or "Limited Liability Company" in the name.

  2. Appoint a registered agent

What does Kansas require every year?

Since January 1, 2024, Kansas LLCs file an Information Report every two years instead of an annual report. An LLC formed in an even-numbered year files in even years; one formed in an odd year files in odd years. The report is due by April 15 of the filing year for calendar-year businesses. The Secretary of State's current form lists the fee at about $90 online or $110 on paper, after 2026 fee changes; confirm the amount when you file. Missing a report can lead to forfeiture of the LLC's articles, and reinstatement means a filing fee, a penalty and every missed report.

What changed recently in Kansas?

Two things. From 2024, the annual report became a biennial Information Report, with the same content filed half as often. In 2026, the Secretary of State cut a wide range of business filing fees, including the LLC formation fee, which fell from $160 to $85 online on February 27, 2026, with further fee changes announced in May 2026. Guides and formation services that quote $160 to form or a $50 annual report are out of date.

Should you file it yourself or use a formation service?

Filing yourself costs only the state fee, and the Kansas filing is short enough for most owners to complete. Can a non-resident form an LLC in Kansas?

What happens if you miss a required report?

The state usually charges a late fee and marks the LLC as not in good standing, which can block a certificate of good standing, a bank account or a loan. If the filing stays overdue, the state can administratively dissolve the LLC, ending its liability protection and its claim to the name.
