What does Iowa require every year?
A biennial report every two years, $30 online or $45 on paper, filed between January 1 and April 1 of odd-numbered years. The first is due in the first odd-numbered year after the LLC is formed: an LLC formed in 2026 files by April 1, 2027. Iowa corporations file in even years, so check which cycle applies. What goes in your own Certificate of Organization?
At minimum, the LLC's name with a designator such as LLC, the name and street address of the registered agent in Iowa, and the address of the principal office. If the filing stays overdue, the state can administratively dissolve the LLC, ending its liability protection and its claim to the name.
