Alaska LLC annual report and yearly fees: what is due and when

Alaska's yearly paperwork is light but easy to lose track of: a report every other year, a different schedule for each LLC, and a separate business license. This guide sets out what is due and when.

When is it due?

The biennial report is due by January 2 of the filing year. Which years depends on when the LLC was formed: an LLC formed in an even-numbered year files in even years, and one formed in an odd year files in odd years. An LLC formed in March 2026 files its free initial report by September 2026, then its first biennial report by January 2, 2028. Reports can be filed from about three months before the due date, and are late if filed after February 1.

How much does it cost?

$100 for a domestic LLC's biennial report, which covers two years, so about $50 a year. The initial report is free. A report filed after February 1 adds a $37.50 penalty. The state business license is separate: $50 for one year or $100 for two.

How do you file it?

  2. File online with the Division

    Online filing is processed immediately.

  3. Confirm or update details

    Addresses, members or managers, and the other details the form asks for.

  4. Pay the $100 fee

    By card, and keep the confirmation.

What information do you need?

The report confirms the LLC's addresses, its members or managers and other details on record, and can update most of them. It cannot change the registered agent, which needs a separate change filing, or the LLC's name, which needs an amendment. Have the LLC's Alaska entity number ready.

What happens if you file late or not at all?

A report filed after February 1 carries a $37.50 penalty. If the LLC stays six months delinquent in filing the report or paying fees and penalties, the Division can involuntarily dissolve it after notice. Separately, a business that lets its state business license expire must renew it before it can lawfully continue operating.

How do you restore a dissolved LLC?

An LLC dissolved for missing filings can usually be reinstated by filing every overdue report, paying the fees and penalties owed and filing a reinstatement application. Reinstatement generally restores the LLC as if it had never been dissolved, but the name may have been taken in the meantime. Acting quickly keeps the cost and the risks lower. What else does a Alaska LLC pay each year?

Alaska has no personal income tax, so owners of pass-through LLCs pay no state tax on their shares; LLCs taxed as C corporations file Alaska corporate income tax returns. Is anything different for foreign owners?

No. A Alaska LLC owned by someone outside the US files the same biennial report in the same way, usually online with a card. Make sure the registered agent forwards state notices promptly, since that is where reminders and penalty notices go. Separately, a single-member LLC owned by a foreign person must file Form 5472 with a pro forma Form 1120 with the IRS every year; that federal filing is unrelated to the state report and carries a $25,000 penalty if missed. How do you avoid missing it?

Put the due date in a calendar with a reminder a month ahead, keep the email address on the state's records current, and file as soon as the filing window opens. Registered agent services usually send reminders too. Be wary of official-looking letters from private companies offering to file for a much higher fee: genuine notices come from the Alaska Division of Corporations, Business and Professional Licensing, and you can always file directly.
