Collected sales tax but didn't remit it: what happens next

This is the most serious sales tax mistake a business can make, and also one of the most common, usually because the money was used to run the business. This guide explains the consequences and the fastest way to put it right.

Sales tax collected from customers belongs to the state from the moment it is collected. If you collected sales tax but did not remit it, the state can charge penalties and interest, hold owners and officers personally liable despite an LLC, and in serious cases treat it as a crime. Why is this treated so seriously?

Sales tax is the customer's tax. The seller collects it on the state's behalf and holds it in trust. Using it for anything else is treated like using someone else's money, not like falling behind on your own tax bill.

What can the state do?

  • Charge late filing and late payment penalties and interest.
  • Hold owners, officers and others responsible for paying the tax personally liable, regardless of the business structure.
  • Revoke the sales tax permit, stopping the business from selling legally in the state.
  • File liens or levy bank accounts.
  • In serious or deliberate cases, bring criminal charges.

    From sales reports, by period and state.

  2. File every missing return

    Even if you cannot pay in full yet.

  3. Pay or agree a plan

    Most states offer payment plans for businesses that come forward.

  4. Ask about penalty relief

    Where there is reasonable cause, or under a voluntary disclosure program where available.

  5. Separate the money

    Move collected tax to a separate account each week or month.

Does a voluntary disclosure agreement help?

Sometimes, but many states do not limit the lookback or waive all penalties for tax that was actually collected. It can still help with the terms and with any uncollected tax in other states. See voluntary disclosure agreements.

How do you prevent it?
